SERVICE AGREEMENT
This agreement is between [CLIENT NAME] (“Client”) and [SELLER NAME] (“Provider”), effective [DATE].
1. Scope of work. Provider will deliver: [LIST EACH DELIVERABLE — be specific: “one logo in vector format with color and mono variants”, not “branding”]. Work not listed above is out of scope and will be quoted separately as a written change order before it begins.
2. Timeline. Work begins on [START DATE] and the deliverables above will be completed by [END DATE], provided Client supplies required materials and feedback within [X] business days of each request. Delays in Client feedback extend the timeline day-for-day.
3. Revisions. The price includes [NUMBER] rounds of revisions per deliverable. Additional rounds are billed at [RATE].
4. Price and payment. Total price: [AMOUNT]. A deposit of [PERCENT]% is due before work begins; the remainder is due [on delivery / net-15 / net-30]. Invoices unpaid [X] days after the due date accrue a late fee of [PERCENT]% per month]. Work product is licensed to Client only upon payment in full.
5. Ownership. Upon full payment, Client owns the final deliverables. Provider retains ownership of preliminary concepts not selected, and may display the final work in their portfolio unless Client opts out in writing here: [YES / NO].
6. Cancellation. Either party may cancel with written notice. If Client cancels, Client pays for all work completed to date plus the non-refundable deposit. If Provider cancels for reasons other than Client breach, Provider refunds the deposit less the value of delivered work.
7. Confidentiality. Each party keeps the other’s non-public business information confidential during and after this agreement.
8. Liability. Provider’s total liability under this agreement is limited to the amount paid by Client. Neither party is liable for indirect or consequential damages.
